These Terms of Service ("Terms") govern your use of our website (the "Site") and related products and services, including any content or information provided as part of or through the Site or such related products, services or websites (collectively with the Site, the "Services"), which are owned or operated by EBEDIX SAS a Colombian corporation and EBEDIX Inc. a US corporation, doing business as EBEDIX ("EBEDIX GROUP", "EBEDIX.COM", "we", "us", or "our").
Our Privacy Policy, available at EBEDIX.com/privacy, is incorporated by reference into these Terms. Please read these Terms and the Privacy Policy carefully before accessing the Services, as these Terms form a binding legal agreement between you and EBEDIX.
These Terms may apply to you individually, the business or the user of another legal entity you represent, or both. If you are entering into these Terms, or using the Site or Services, on behalf of a business or other legal entity, you hereby represent and warrant that you have the authority to enter into these Terms on behalf of such entity. By requesting, accessing, registering or using the Services, you: (1) acknowledge that you have read and understand these Terms; (2) agree to be bound by them in their entirety, and (3) are entering into a legally binding agreement with us. As used in these Terms and unless specified otherwise, "you" and "your" refer to both you individually and the entity on whose behalf you are entering into these Terms. In the event you have entered into a separate written agreement with EBEDIX regarding the Services that contemplates terms that are inconsistent with these Terms, the written agreement shall control and these Terms will not apply to you to the extent inconsistent with such written agreement, or, if such written agreement is intended to supersede these Terms, these will not apply at all.
IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SERVICES. YOUR USE OF OUR SERVICES REQUIRES YOUR ACCEPTANCE OF THESE TERMS AS THEY MAY BE AMENDED FROM TIME TO TIME, INCLUDING INCORPORATED POLICIES.
EBEDIX provides digital engineering and consulting services, and a platform of digitalized data models (including but not limited to Digital Services Subscription Platform Use Agreement, Real and Virtual Capture Services Agreement, Professional Consulting, Modeling and Digital Engineering Services Agreement) along with related services and content. The Services may include access to various data sources and models, as well as related applications. In addition to the terms set forth herein, each data source or application may describe its own restrictions and limitations (e.g., redistribution restrictions and API usage limitations) during the selection process, and such terms are incorporated into these Terms by reference to the extent you select or otherwise access or use the applicable data source or application.
Excluding User Content (defined below), all content available through the Services (including, but not limited to, all information and infrastructure, associated modeling tools, data, investment and result reports, user information, data, newsletters, blog posts, general text, graphics, custom digital solutions, and their selection and arrangement, collectively, the "Service Content") is proprietary information of EBEDIX.
No Service Content may be modified, copied, distributed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without EBEDIX's prior written permission in each instance. Provided that you are eligible to use and access the Services and subject to the conditions of these Terms of Service, you are granted a limited license to access the Service Content and to download or print a copy of any portion of the Service Content to which you have properly gained access solely for your personal use, provided that you keep all copyright or other proprietary notices intact. You may not upload or republish Service Content on any Internet, Intranet, or Extranet site. You may not incorporate the information in any other database or compilation unless expressly and legally approved by contract by EBEDIX. Any other use of the Service Content is strictly prohibited. You agree to abide by any additional copyright notices or restrictions contained in the Service Content.
As noted above, EBEDIX provides digital engineering and consulting services and a platform of digitalized data models. Through such platform available as part of the Services, you may request certain data sources or applications. Each digital data model provision and application may have its own specific terms applicable to such provision ("Product Terms"), which are set forth in the links presented with the data provision on the Site and are also available for review during the contracting process, and such Product Terms are incorporated into and form part of this Agreement by this reference and you automatically accept such terms upon requesting or otherwise accessing the applicable data source or application. In the event of a conflict between these Terms and the Services and Product Terms, the Services and Product Terms will control. One common term specific to the digital data model source specifies whether such data source can be redistributed or not. In the absence of Product Terms to the contrary, the respective rights applicable to non-redistributable and redistributable data are set forth below in Sections 2.2 and 2.3, respectively. Another common term specifies whether such data source usage is for Tenancy or Non-Tenancy.
With respect to all Digital Data Models and content of EBEDIX identified as provided without redistribution rights, you may not redistribute such EBEDIX Digital Data Models. Your use is exclusively for internal research purposes and they cannot be used to create an application intended for end users other than yourself. You may not share your access to EBEDIX Digital Data Models and their content with other individuals or associated or non-associated companies. You must disclose in any printed or shared document containing EBEDIX data, either the EBEDIX logo or reference that the data is proprietary to EBEDIX. You may not provide or display the data to a third party dynamically. In the event that the Product Terms include additional or conflicting terms, such Product Terms shall apply.
With respect to all Digital Data Models and content identified as provided with redistribution rights, you are permitted to receive, process and display such data in your own application to individual end users, provided that you or your end users use the data in such a manner that you do not resell or commercially exploit the EBEDIX Data. You are also permitted to systematically query the API with respect to such Models. You must disclose on your application, website or software the EBEDIX logo or reference.
Regardless of whether the Digital Data Models and their content are redistributable, you shall not repackage or resell EBEDIX data or applications in any form.
To be eligible to use the Services, you represent and warrant that: (i) you are at least 18 years of age, or the age of majority in the jurisdiction in which you reside; (ii) you are not currently restricted from the Services; (iii) you will only provide accurate information; (iv) you have full power and authority to enter into these Terms; and (v) you will not violate any rights of EBEDIX or a third party. You assume full responsibility for your use and access to the Services.
By registering for our Services, you represent and warrant that all information you submit to us is true, accurate, current and complete.
To use our Services, you must register with us and submit certain personally identifiable information. You expressly agree that we may collect, disclose, store and use your information in accordance with the terms of the EBEDIX Privacy Policy.
The account you create and any related profile is our property. You agree to: (i) keep your password secure; (ii) not permit others to use your account.
You are solely responsible for all content that you upload, publish or display on or through the Services. EBEDIX is not responsible for User Content and you grant EBEDIX an irrevocable, perpetual, non-exclusive license to use such User Content.
You are solely responsible for all interactions with other users. EBEDIX has no obligation to verify any User Content or other information provided by users.
Any feedback or suggestions you provide to EBEDIX regarding the Services is entirely voluntary and EBEDIX will be free to use such feedback for any purpose.
Subject to the terms and conditions herein, EBEDIX grants you a limited, revocable, non-transferable, non-sublicensable and non-exclusive license to access the Services. This license is personal to you. You may not copy, download, distribute, or publicly display any content from the Services without the prior written approval of EBEDIX. The Services and all copies are owned by EBEDIX or its third-party licensors and are protected by various intellectual property laws.
If you purchase any of the Services we offer for a fee ("Paid Services"), you agree to pay the applicable fees. All applicable taxes are calculated based on the billing information you provide. All fees are assessed in US Dollars unless otherwise stated. Failure to pay may result in termination of your subscription.
You agree to comply with all applicable laws and regulations in connection with your use of the Services. You may not use our Services to post or transmit any illegal material.
EBEDIX may deny or restrict your access to all or part of the Services without prior notice at its reasonable discretion if it believes you have engaged in any conduct that violates these Terms.
You acknowledge and agree that you are solely responsible for protecting your password and other personal information.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. ALL CONTENT OF THE SITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED.
UNDER NO CIRCUMSTANCES SHALL EBEDIX OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OUR SERVICES.
You specifically acknowledge that neither EBEDIX Parties shall be liable for losses or gains arising out of or related to your use of the Services.
You agree to defend, indemnify and hold harmless the EBEDIX Parties from any claims or demands made by any third party due to or arising out of your breach of these Terms.
EBEDIX respects the intellectual property rights of others. We respond to notices of alleged copyright infringement in accordance with standard regulations.
For any claim where the total amount of the award sought is less than USD 5,000 in the USA, or 20 minimum legal current wages in Colombia, the party requesting relief may elect to resolve the dispute through binding non-appearance-based arbitration.
You acknowledge and agree that EBEDIX may provide you with notices and other disclosures electronically by posting such notices on the EBEDIX website or sending them via email.
EBEDIX may add, change or remove any part of these Terms at any time without prior notice. Such modification shall be effective immediately upon posting on the Site.
We do not control and are not responsible for any data, content, service or product accessed, downloaded, received or purchased while using the Services that are from third parties.
These Terms, along with the rules, guidelines or policies published on the EBEDIX homepage, constitute the entire agreement between EBEDIX and you. These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida.
